visitor and user who wishes to use GRIP (Green Renewable Investment
Platform), should read and review thoroughly the following terms and
conditions, before visiting or using the website. In case he disagrees with
them, then he should not to use it. Otherwise, it is considered that he
accepts them explicitly and unreservedly and gives his consent to the terms
and conditions. The following terms and conditions apply to all content on
our website and the services provided by GRIP.
Terms and Conditions
Every visitor, user and subscriber who uses the services of our website is
obliged to do so in accordance with the law, good manners and the terms and
conditions and not to perform acts or omissions that may cause damage to
its operation or intellectual property or third party rights. GRIP (Green
Renewable Investment Platform) reserves the right to change the terms of
use and personal data at any time and without prior notice. For this
reason, the visitor, user and subscriber must read the terms of use before
each visit to the website www.grip-energy.com.
The contents of this website and other documents provided by GRIP may not
be copied, reproduced, distributed and republished, in any form, without
the prior consent of the owner of www.grip-energy.com. It is
permissible to print or electronically store the contents of GRIP for
personal use, but its use for commercial purposes is prohibited in any way.
Visitors, users and subscribers who wish to subscribe to the services of
GRIP must:

claimed back, except for the 14-day period mentioned in the Payment
section. Visitors, users and subscribers also accept the issuance of the
invoice for the services paid and accept responsibility for submitting
their personal or company details that legally represent, which are to be
used for the invoice issued by GRIP.

The company provides its users GRIP with member services, upon acceptance
of the terms of use and completion of the registration process of their
data. Once the visitor or user completes the registration process, he
receives confirmation of his registration through a unique link, which is
sent to the email address he has registered and the user is presumed to
have accepted these terms and knows them.

Users or subscribers remain solely responsible for all operations carried
out under their personal password, username and generally their account

unauthorized use of their account and any occurring or possible breach of

Definition of Services
GRIP provides the user and subscriber with an online marketplace with a
protected area for communication, verification and evaluation, as well as
the preparation of contracts, which are related to the sale or purchase of
energy projects. The term energy projects refer to: (a) photovoltaic solar
projects, b) wind projects, c) biomass projects, d) hydroelectric and
others. It is worth noting that the energy projects registered on GRIP are
divided into two phases: under development and under operation. In
addition, GRIP includes a list of information for each energy project. The
information list contains the following data: energy project category,
installed project capacity (MWp), selling price (€), agreed grid price
(€/MWh), annual energy production (MWh), remaining project life
(operations), annual operating costs (€), date of commencement of
operation, purchase or lease of land for the energy project investment,
internal rate of return and location of energy project. Finally, land plots
(for lease or purchase) will be registered in the online market in case a
user or subscriber is interested in developing and constructing an energy
project.
Registered users can either offer energy projects for sale (owners), or bid
as potential buyers (investors). Investors can send offers or queries to
owners through GRIP. As mentioned in the previous paragraph, the purchase
and sale will not be limited only to energy projects, but will also extend
to the purchase and sale of land for future development and construction of
an energy project. Grip forwards these questions and offers to the
respective owners. It is not possible for investors (or through third
parties) to contact or negotiate directly with owners without the written
consent of GRIP.
GRIP is not a party to the sale agreements between owners and investors.
These sales agreements are binding solely on the respective owner and
investor respectively. The sales agreements are concluded and settled
outside the online market provided by GRIP. GRIP does not submit proposal
for sale and does not accept offers from users to enter into a sales
agreement on their own behalf.
GRIP does not affect the settlement of contracts concluded between
customers of the online market. GRIP is not responsible for the suitability
of an energy project for sale or for the success of the sale of the energy
project that the investor has listed. The same applies to major defects or
quality defects in the energy work of the transaction.
GRIP provides additional services to users as stated on the website. More
specifically, GRIP includes energy advertising opportunities, technical and
financial due diligence and sundry services.
Special conditions for potential investors
To register as a potential investor, you must follow the steps as listed on
GRIP’s website. Following registration, a potential investor can review the
listings of energy projects with the associated project information.
Registration, however, does not allow the potential investor to see the
protected project information available for each project. The potential
investor can request to be given the protected information of the energy
project and to reveal the contact details of the owner after the approval
of GRIP. Once GRIP reviews and approves the application, the investor has
the right to access the documentation of the energy project, provided he
has paid the service fee through the electronic payment process. The
investor will be informed about how much the service cost will be
accordingly and how much the next commission will cost in case of the
acquisition of the energy project is completed. GRIP contacts the potential
investor of an energy project for sale at the request of the applicant.
Penalties or damages in the transmission or publication of data
Users, visitors and subscribers of the online market GRIP are not allowed
to use the information and data they have access to through the use of the
market (especially data related to energy projects, contacts or offers,
etc.) in exchange for money, for purposes other than those of the terms and
conditions or for the purposes of third parties. This applies in particular
to the publication, distribution, disclosure, storage or copying of offer
and address data, with third parties performing or participating in such
transactions, regardless if for a fee or not. Violation of this obligation
of confidentiality will lead to compensation claims, which will be entitled
to the GRIP by the user, visitor or subscriber responsible for breach of
terms and conditions. Also, the user, visitor and subscriber are not
allowed to send ads or send ads to registered third parties without their
explicit permission in advance. Violation of the above obligations leads to
exclusion from the services of GRIP.

servers that host it, will be uninterrupted or without any kind of error,
free from viruses or other similar elements.
The energy projects registered on GRIP are independent companies and are
independent professionals, connected through www.grip-energy.com.
Data submitted to GRIP
By submitting any data to GRIP, the user, visitor and subscriber
automatically grants GRIP the right and permission to view, publish,
translate, reproduce these data or part thereof anywhere in the world, via
any technology. At the same time, it does not acknowledge that GRIP has any
obligation to promote or publish the submitted material.
Intellectual and industrial property rights
All content of the website, including texts, ads, photos, drawings,
commercial and financial data, programs, all types of files, marks, logos,
format (lay - out) of GRIP are protected under the relevant provisions of
Greek law, of European law and international conventions and belong
exclusively to the company and are available to its users, visitors and
subscribers strictly for personal use.

visitors and subscribers, when they visit these websites, as the latter are
not determined by the terms and conditions of GRIP.
GRIP bears no responsibility for the continuous, uninterrupted and secure
access of the user, visitor and subscriber to the other websites.
Therefore, in the event that any problem arises during a visit to these

event, GRIP does not accept any liability for damages or losses due to the

any third party. The removal or deactivation of the access to the user's
content will be done at the sole discretion of the company and does not
promise to remove or disable the access to any specific content of the
user.
E-Commerce
GRIP provides users, visitors, and subscribers with the ability to purchase
services through e-commerce applications, in accordance with the specific
terms it sets, taking care of the protection of personal data submitted for
the use of these services.
In the cases of application of e-commerce between users, subscribers and
GRIP, GRIP is obliged to comply with the decision Ζ1-496 / 2000 for
distance selling and the provisions of Law 2251/1994 for the protection of
consumers.
Thus, GRIP is obliged to inform its prospective customers about: a) the
essential characteristics of the energy it offers (reference to the
definition of services), b) the value added tax, if it is not included in
the price, c) the method of payment, d) the manner of execution and
processing of the provided service, e) the duration of the offer or the
price and g) the right of withdrawal.
Access to the GRIP pages / services does not involve any additional costs,
apart from the current tariff regime for general internet access, as set up
by the competent internet provider and paid to him alone.
Payment
For the publication of advertisements or distinguished advertisements made
in GRIP, the company accepts payments by credit and debit card. Accepted
cards are Visa, MasterCard, Revolut and Paypal.
The charge of your credit or debit card will be made after the verification
and certification of the data and its validity. The charge amount should be
available and will be kept upon confirmation of the order. To make your
purchase through GRIP you must follow the instructions that you will find
in it. In the purchase form that you will find, you will have to fill in
the number and the expiration date of your credit card. You are solely
responsible for the correct recording and authenticity of your credit card
information and you should be the beneficiary of the credit card you use
for each transaction.
The receipt/invoice will be emailed to you upon completion of the purchase
process.
When you register online for a paid subscription, you consent to access the
special service immediately. If you register online for a paid
subscription, you can change your mind for any reason or for no reason and
you will receive a full refund of all money paid within fourteen (14) days
(the "withdrawal period"). Refunds will not be paid if you access the
service at any time during the withdrawal period.
Payment and transaction security
GRIP, for security reasons, does not store any credit card details for
future use, so you will need to re-enter your credit card details each time
you purchase. By entering the credit card information required by the GRIP
terms and conditions, it expressly states that you have the legal right to
use that credit card. It is worth noting that the company does not bear any
responsibility in case of illegal use of credit cards.
The provision of credit card information indicates your consent to be
charged for the amount of the purchase made through GRIP. If the
transaction with your credit card is rejected for any reason by the issuing
bank or the credit card network, reasons such as exceeding the credit limit
or suspicion of fraud are indicated, then the purchase will not be
executed.
Credit card transactions will be processed through the GRIP Website using
the services of the Internet Payment Processing Provider with which the
company is contracted.
The company is not responsible for non-fulfilment of charges or commitments
with credit card amounts in case of fault of the Internet Payment Provider
or the Internet Service Provider (ISP). Indicative cases of non-fault of
the company are the following:

Hardware or software failure of the Internet Payment Processing provider.
In the event that the ISP request server stops working as required either
due to a hardware failure (indicating hard disk failure, power loss, main
memory failure) or due to software problems, the member will be deemed to
have does not participate in the market.

Failure to inform the company to complete the transaction. In case the
transaction is charged or pledged by credit card, but the company is not
informed through acceptable procedures then the company will consider that
the member does not participate in the market. Failure to inform the
company may be the fault of the Internet Payment Processing provider or the
Internet Service Provider.
The above cases are indicative and do not constitute an exhaustive list of
all cases of non-fault GRIP.
Service charge (processing / nominal fee), commission fee, monitoring fee,
prices, payment terms
1. GRIP charges a service fee for the provision of protected relevant
energy project documents to interested parties (subscribers). The service
fee is paid through an electronic payment process or invoiced before the
release of the energy project documents.
2. To establish contact between energy project owners and potential
investors for business transactions arising from the contact GRIP also
invoices a commission to the investor. The exact percentage of the
commission will depend on the characteristics of the project.
3. GRIP has the right for commission following the signing of one or more
contracts (e.g. development partnerships, options contracts, pre-sale
contracts, sales contracts, energy projects contracts) that cover the
energy project offered for sale, which was purchased through the GRIP
website.
4. The user or investor undertakes to inform GRIP about the completion of
the subsequent business transactions and to provide complete information
about them, even if the transaction does not take place through the online
market. The obligation to pay a commission to GRIP remains for each
transaction between the potential owner and the investor.
5. If the user has the same offer from another source before GRIP provides
him data and details, he must inform GRIP in writing of this prior action
within 10 days of receipt of the offer. If this is not done, the prior
knowledge objection is excluded and the claim for provision of proof during
the provision of GRIP, remains independent of the previous action.
6. Customer payments to GRIP are processed by payment services.
COOKIES
GRIP has the ability to use Cookies as part of operation and the provided
services. Cookies are small files (text files), which are sent and stored
on the computer of the user and the subscriber, allowing websites such as
GRIP to operate smoothly and without technical anomalies, to allow the
collection of multiple options of the user and subscriber, and identify

These terms and conditions apply equally to the benefit of GRIP, its
subsidiaries and related companies, are governed by Greek law. In the event
that any of them appear to be invalid or not applicable even for some
reason, the conditions not affected by it will apply and have full force.
The place of fulfilment of all obligations from or in relation to this
contract, especially for payment and delivery, is Athens (Greece). The law
of the Hellenic Republic applies to this Convention, with the exception of
the United Nations Convention on Contracts for the International Sale of
Goods.
For any dispute that may arise regarding the operation and use of GRIP,
users, visitors or subscribers may, in accordance with the relevant
legislation, contact the competent Greek alternative dispute resolution

If it is not possible to settle it by consensus, the Courts of Athens have
jurisdiction. For any dispute regarding the interpretation and application
of these terms and conditions as well as for any other issue regarding the
use of GRIP, Greek Law is applicable.

Contract
These terms of use constitute the overall agreement-contract between GRIP
and each user, visitor and subscriber.
Suspension or Interruption of services
GRIP reserves the exclusive right, accepted by users, visitors and
subscribers, to disable GRIP, temporarily or permanently, with or without
notice, in order to rectify technical problems. GRIP also reserves the
right to cease providing its services to users who have overdue financial
obligations to it.
Privacy
GRIP covers all personal data as the conditions of collection, processing
and management of personal data of visitors, users and members of GRIP. In
no case is this the relationship between the visitors, users and members of
GRIP and any services that are not subject to the control and ownership of
the company. GRIP collects personal data:

Each user is obliged to state their true and complete data as well as to
inform GRIP of any change by providing the required information required to

provisions of Law 4624/2019 as applicable to the protection of the
individual from the processing of personal data and Regulation (EU)
2016/679 of the European Parliament and of the Council of 27 April 2016 for

and for the free circulation of this data and the repeal of Directive 95/46
/ EC of Law 2472/1997, as amended by Law 3471/2016 and today will keep, in

Communication, advertising, search promotion, collected personal data (e.g.

advertisement by the owner), may be disclosed to third parties, such as the
partners with whom GRIP cooperates.
In accordance with the provisions of Law 4624/2019 and the EU General Data
Protection Regulation 679/2016, concerning the processing of personal data,
the user will be specifically asked to give his specific and explicit
consent to the processing and communication of such data, choosing the
option "I accept".
Data security
GRIP take all necessary measures to ensure the security and protection of
the user's personal data from accidental or non-accidental destruction;
loss, unauthorized modification, disclosure or access from any other
unlawful processing of personal data it manages. However, despite the bona
fide and every effort made by our website to store users' personal data in
a secure operating environment, which is not open to the public, it is
noted that there is no complete or perfect security and www.grip-energy.com
cannot guarantee that there will be no involuntary disclosures of the
user's personal data. The latter must immediately update our website in
case his contact details have been lost, stolen or used without his
permission. In such a case, we will remove the contact information with the
user from his account and update our records accordingly.
GRIP reserves the right to take - but not limited to - actions such as:
a) recording and storing all communication of the visitor, user and

answers to the website related to energy projects.
